iconicKODES License Policy

Introduction

At iconicKODES.com, we believe in providing clarity and transparency regarding the use of our digital products. This Licensing Policy outlines the terms under which you can use the items (themes, templates, plugins, graphics, and other assets) available on our platform. It defines two types of licenses: Regular and Extended. Please read the following terms carefully to understand your rights and obligations.

License Types

Regular License

  1. The Regular License grants you, the purchaser, an ongoing, non-exclusive, worldwide license to utilize the digital work (Item) you have selected from iconicKODES. Please read the rest of this license for details regarding your use of the Item, as well as the FAQs, which form part of this license.
  2. You are licensed to use the Item to create one single End Product for yourself or for one client (a “single application”), and the End Product can be distributed for free.
  3. An End Product is defined as one of the following, both requiring an application of skill and effort:
    1. For an Item that is a template, the End Product is a customized implementation of the Item. For example: if the item is a website theme, the End Product is the final website customized with your content.
    2. For other types of Items, an End Product is a work that incorporates the Item alongside other elements, resulting in a product that is larger in scope and different in nature than the Item itself. For example: if the item is a button graphic, the End Product is a complete website. Please refer to the FAQs for additional examples and information about End Products and the single application requirement.

Things you can do with the Item

  1. You can create one End Product for a client and transfer that single End Product to your client for any fee. The license will then be transferred to your client.
  2. You can make an unlimited number of copies of the single End Product, as long as the End Product is distributed for free.
  3. You can modify or manipulate the Item. You may combine the Item with other works and create a derivative work from it. The resulting works will be subject to the terms of this license, as long as the End Product you create complies with clause 3. For example: You can license a flyer template, incorporate your own photos, modify the layout, and have it printed to promote your event.

Things you can't do with the Item

  1. You cannot sell the End Product, except to one client. (If you or your client intend to sell the End Product, you will need the Extended License.)
  2. You cannot redistribute the Item as stock, in a tool or template, or along with source files. This restriction applies whether you attempt to do so with the Item alone or bundled with other items, even if modifications have been made. You may not redistribute or make available the Item as-is or with superficial modifications. These actions are prohibited, even if the redistribution is for free. If you’re an iconicKODES author, you can use other items in your item’s preview without a license, under certain conditions. Please see the author licensing FAQs for more details. For example: You cannot purchase an HTML template, convert it to a WordPress theme, and sell or give it to more than one client. You cannot license an item and then make it available as-is on your website for your users to download.
  3. You cannot use the Item in any application that allows an end user to customize a digital or physical product to their specific needs, such as an “on-demand,” “made to order,” or “build it yourself” application. You can use the Item in this manner only if you purchase a separate license for each final product that incorporates the Item created using the application. Examples of “on-demand,” “made to order,” or “build it yourself” applications include website builders, “create your own” slideshow apps, and e-card generators. You will need one license for each product created by a customer, or you can contact us at the Help Center to discuss your needs. 
  4. Although you can modify the Item and delete unwanted components before creating your single End Product, you cannot extract and use a single component of an Item on a stand-alone basis. For example: If you license a website theme containing icons, you can delete unwanted icons from the theme. However, you cannot extract one icon to use outside of the theme.
  5. You must not permit an end user of the End Product to extract the Item and use it separately from the End Product.
  6. You cannot use an Item in a logo, trademark, or service mark.

The nitty gritty! Other license terms

  1. For some Items, a component of the Item may be sourced by the author from elsewhere, and different license terms may apply to that component, such as someone else’s license or an open source or Creative Commons license. If applicable, the component will be identified by the author in the Item’s description page or in the Item’s downloaded files. The other license will apply to that specific component instead of this license, while this license will apply to the remainder of the Item. For example: A theme might contain images licensed under a Creative Commons CC BY license. In this case, the CC BY license applies to those specific images, while this license applies to the rest of the theme.
  2. For some items, a GNU General Public License (GPL) or another open-source license applies. The open-source license applies in the following ways:
    1. Some Items, even if entirely created by the author, may be partially subject to the open source license: a ‘split license’ applies. This means that the open source license applies to an extent determined by the open source license terms and the nature of the Item, and this license applies to the remainder of the Item. Split and other open-source licensing are particularly relevant for themes and plugins for WordPress and other open-source platforms. Where split licensing applies, this is noted in the Item’s download files. For more information, see this Help Center article.
    2. For some Items, the author may have chosen to apply a GPL license to the entire Item. This means that the relevant GPL license applies to the entire Item instead of this license. Where an Item is entirely under a GPL license, it will be identified as a GPL item, and the license will be detailed in the download files. For more information, see the FAQs.
  3. You can only use the Item for lawful purposes. Additionally, if an Item contains an image of a person, even if the Item is model-released, you cannot use it in a way that creates a false identity, implies personal endorsement of a product by the person, or in a manner that is defamatory, obscene, or demeaning, or in connection with sensitive subjects. For more information on sensitive subjects, please refer to our FAQs.
  4. Items that contain digital representations of real products, trademarks, or other intellectual property owned by others have not been properly released. These Items are licensed solely for editorial use. It is your responsibility to determine whether your use of these Items requires clearance, and if so, to obtain the necessary clearance from the intellectual property rights owner.
  5. This license is applicable in conjunction with the iconicKODES Terms for your use of the iconicKODES Marketplace. If there is any inconsistency between this license and the iconicKODES Marketplace Terms, this license will apply to the extent necessary to resolve the inconsistency.
  6. This license may be terminated if you breach its terms. In such cases, you must stop making copies of or distributing the End Product until you remove the Item from it.
  7. The author of the Item retains ownership of the Item but grants you a license under these terms. This license is between you and the author of the Item. iconicKODES is not a party to this license and does not grant the license.
     

Extended License

  1. The Extended License grants you, the purchaser, an ongoing, non-exclusive, worldwide license to utilize the digital work (Item) you have selected. Please read the remainder of this license for details applicable to your use of the Item, as well as the FAQs (which form part of this license).
  2. You are licensed to use the Item to create one single End Product for yourself or for one client (a “single application”), and this End Product may be sold.
  3. An End Product is defined as one of the following, both requiring an application of skill and effort:
    1. For an Item that is a template, the End Product is a customized implementation of the Item. For example, if the item is a magazine template, the End Product would be the finished magazine.
    2. For other types of Items, an End Product is something that incorporates the Item along with other elements, resulting in a product that is broader in scope and different in nature than the Item itself. For example, if the item is a set of icons, the End Product could be a mobile app for sale. For more examples and information about End Products and the single application requirement, please see the FAQs.

Things you can do with the Item

  1. You can create the End Product for a client, and the license can be transferred from you to your client.
  2. You can sell and make any number of copies of the single End Product.
  3. You can modify or manipulate the Item. You can combine the Item with other works to create a derivative work. The resulting works remain subject to the terms of this license, provided that the End Product you create complies with clause 3. For example, you can license a vector, manipulate it, and add your own elements to produce an illustration that is used as a book cover.

Things you can’t do with the Item

  1. This license is a “single application” license and not a “multi-use” license, meaning you cannot use the Item to create more than one unique End Product.
  2. You cannot redistribute the Item as stock, in a tool or template, or with source files. This restriction applies whether you distribute the Item on its own or bundled with other items, even if modified. You cannot redistribute or offer the Item as-is or with minor modifications. For example, you can't license multiple vector files and then redistribute/resell them as a clip-art pack.
  3. You cannot use the Item in any application that allows an end user to customize a digital or physical product to their specific needs, such as an “on-demand,” “made to order,” or “build it yourself” application. You can only use the Item this way if you purchase a separate license for each final product that incorporates the Item created through the application. Examples of such applications include website builders, “create your own” slideshow apps, and e-card generators. You will need a separate license for each product created by a customer, or you can contact us at the Help Center to discuss.
  4. Although you can modify the Item and remove components before creating your single End Product, you cannot extract and use a single component of the Item on a stand-alone basis. For example: If you license a game starter kit, you can delete unwanted 3D models from the file. However, you cannot extract a 3D model to use outside of the game starter kit.
  5. You must not allow an end user of the End Product to extract the Item and use it separately from the End Product.
  6. You cannot use an Item in a logo, trademark, or service mark. 

Other license terms

  1. For some Items, a component of the Item may be sourced by the author from elsewhere, and different license terms may apply to that component, such as someone else’s license or an open source or Creative Commons license. If applicable, the component will be identified by the author on the Item’s description page or in the downloaded files. The other license will govern that component instead of this license, while this license applies to the rest of the Item.
  2. Some Items may be partially subject to a GNU General Public License (GPL) or another open-source license, even if the Item was entirely created by the author. In such cases, a ‘split license’ applies, meaning the open source license applies to the extent determined by its terms and the nature of the Item, while this license applies to the rest of the Item. For more information, please see this Help Center article. This is most common for themes for WordPress and other open-source platforms. If split licensing applies, it will be noted in the Item’s download files.
  3. You can only use the Item for lawful purposes. Additionally, if an Item contains an image of a person, even if the Item is model-released, you cannot use it in a way that creates a false identity, implies personal endorsement of a product by the person, or is defamatory, obscene, or demeaning, or in connection with sensitive subjects. General Terms

  • Usage Restrictions: Items licensed under both Regular and Extended Licenses cannot be used in any way that competes with the original item, such as creating a competing product, trading, or putting it in a platform or product where it might be accessible to others.
  • Refund Policy: Due to the nature of digital products, all sales are final, and we do not offer refunds after the purchase of an item, except in accordance with our Refund Policy.
  • License Transfer: You may transfer your license to another party if you notify us in writing and the new owner agrees to abide by these licensing terms. However, you must delete the item and any copies from your systems and do not retain any rights to continue using the item.
  • Compliance: It is your responsibility to ensure that your use of the items complies with local laws and regulations.

Modifications to Licensing Policy

iconicKODES reserves the right to modify this Licensing Policy at any time. Any changes will be posted on this page, and it is your responsibility to review this policy regularly. Continued use of our products after changes are posted indicates your acceptance of the new terms.
